Private Limited Company Registration: How to Get it in 2026?
There is no such thing as a perfect business. An income-churning business is a well-oiled machine that has several components, among which the most crucial is a legal structure. While it seems unimportant at times, a legal structure can have a significant impact on the daily operation and long-term growth of a business. That’s why it is important to be wary of a structure when incorporating in India. Those who are under a rock can choose
Private Limited Company Registration. Why? Let’s find out why this structure is so popular among startups and entrepreneurs in India.
What is a Private Limited Company?
A private limited company is a legal structure that falls under the Companies Act 2013. It requires at least two local directors and two shareholders to be incorporated. When compared to LLC and partnership, a Private Limited Company Registration is much more robust and legally stable. Here’s why
It prevents shareholders from putting their assets at stake during a crisis, such as winding up and banking default.
It allows seamless appointment and termination of directors without excessive red tape.
It is fairly easy to set up, provided all requirements under the Companies Act are met.
It can be wound up through a systematic process involving filing an application with the RoC.
It remains operational even if the director or a shareholder departs from the company for any reason.
It is easily scalable since it can accommodate up to 15 directors and 200 shareholders.
How to Apply for Private Limited Company Registration in 2026?
Here is the structured, phase-wise process of securing Private Limited Company Registration in India:
Phase 1: Pre-Registration Requirements
Essentially, the process of registering a private limited company begins with filing a web-based form, viz, SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus). However, before you do so, you must have
a Class 3 DSC( a digital signature to sign the web forms) for all shareholders and directors. They can apply to government-recognized Certifying Authorities (CAs) to obtain the DSC.
Required documents include the PAN cards of directors and shareholders, their ID proof, and a recent bank statement or utility bill.
A proof of a business place, such as a Property Deed, or a Rent Agreement.
Phase 2: Fill out SPICe+ Form
Log in to the MCA portal to access the SPICe+ form, boasting two parts, namely Part A and Part B. Part B will help you reserve the company’s name, while Part B requires you to fill out the required details about the company and its members. Here’s what you need to fill out in Part B.
Details regarding the company's capital structure (Authorized and Paid-up share capital).
Registered office address.
Personal and professional details of the proposed directors and subscribers.
Note: Part B allows you to apply for up to 3 Director Identification Numbers (DIN) directly if the directors do not already have one.
Phase 3: Linked e-Forms & Auxiliary Registrations
As you proceed with the submission of Part B, the linked forms will appear that you must fill out. These include:
e-MOA (Form INC-33): The Electronic Memorandum of Association, defining the main business objectives and scope of your company.
e-AOA (Form INC-34): The Electronic Articles of Association, outlining the internal bylaws, management structure, and rules.
AGILE-PRO-S: A mandatory single-window form that automatically issues critical operational credentials:
PAN (Permanent Account Number) and TAN (Tax Deduction Account Number)
EPFO (Employees' Provident Fund Organisation) & ESIC (Employees' State Insurance Corporation) registration
Mandatory commercial Bank Account routing
Optional GSTIN (GST Identification Number) and Professional Tax registration (where applicable).
Form INC-9: An auto-generated electronic declaration by all subscribers and first directors confirming compliance with company rules.
Phase 4: Review, Payment, and Issuance
Once the portal validates all fields in the form, download the PDF version of the same and include the Class 3 DSCs of the directors and a certifying professional (CA, CS, or CMA). Finally, pay the necessary government fees and state-specific stamp duty.
The Central Registration Centre (CRC) will verify your application for compliance. If no errors are found, the RoC, i.e., Registrar of Companies, will issue the Certificate of Incorporation (CoI)
